8. Meetings of the Board.—(1) The Board shall meet not less than twice in a calendar year. (2) the Meetings of the Board shall be presided over by the Chairman or, in his absence, by any other Member as the Board may determine; (3) Six Members including at least two ex-officio Members shall constitute a quorum for a meeting of the Board. (4) The decision of the Board shall be taken by the Majority of its Members, each of whom shall have a single vote, including the Chairman. In case of a tie, the Chairman or, in his absence, the person chairing the meeting, shall have a casting vote. (5) No actor proceeding of the Board shall be invalid merely on the ground o f the existence of any vacancy in, or any other defect in the constitution of, the Board.
